VMCA Incorporation

Update - 17 February 2010

The special general meeting held on 7 November failed to approve the proposed statement of purpose and rules. This was partly due to uncertainty about the existing documents (and some unhappiness with the proposed documents).

The committee has obtained copies of the previous documents from the department of Consumer Affairs. They are scanned and printed from the original type written documents and are not suitable for reproducing although the original Statement of Purpose has been re-written for publication.

The committee believes that the proposed documents are the best way forward to incorporation and a vote will be held on these at the 2010 AGM on 7 March (5pm at Chelsea YC - see VMCA E-News 17 Feb). The documents that will be voted on are:

The motion to be put at the VMCA AGM (7 March 2010) is:

The VMCA accepts the proposed Statement of Purpose and Rules of the Association. These replace any previous documents. Furthermore the VMCA will proceed with incorporation in Victoria and authorises Mick Floyd to submit the application.

Update - 16 October 2009

The Special General Meeting of the VMCA to consider the proposed statement of purposes and rules of the association will be held at 7pm at McCrae Yacht Club on 7 November 2009.

A Notice of Meeting has been sent out to all financial members.

If you are unable to attend the meeting you can submit a proxy form to allow another person to vote on your behalf.

Incorporation

In June 2009 a general meeting of the VMCA held at the Sauna Sail voted to proceed with incorporation of the Association. The minutes of that meeting can be viewed here.

The benefits and disadvantages of incorporation are set out on this page from the Consumer Affairs Vic web site. An added issue for the VMCA is the fact that Yachting Victoria and Yachting Australia insist on any affiliated organisation being incorporated.

The steps that are needed for incorporation are set out on this page from the Consumer Affairs Vic web site.

In short they are;

Step 1 - The association must hold a meeting of which all members are given at least 21 days notice.

Step 2 - At this meeting, a majority of votes cast by members, whether personally or by proxy (if proxies are allowed), must:

  1. authorise a particular person to incorporate the association. This person must be at least 18 years old and reside in the State of Victoria
  2. approve a proposed statement of purposes
  3. approve proposed rules that comply with the Act or approve the adoption of the model rules.

Step 3 - The person authorised to apply for incorporation must complete and lodge with the Registrar:

  1. the Application for Association Incorporation form together with the prescribed fee
  2. a copy of the proposed statement of purposes
  3. a copy of the proposed rules of the association

The VMCA has a proposed statement of purposes and rules of the association. In addition this version of the draft rules with changes shows all modifications that have been made from the model rules that are supplied by Consumer Affairs Vic.

The meeting where this process will be finalised will be held on the weekend of 7-8 November 2009 at McCrae in conjunction with the Vic Catamaran Championship. Official notification and details of this meeting will be sent out to all VMCA members at the start of October 2009.

The committee welcome members input on the proposed statement of purposes and rules of the association. We have received some feedback and made quite a few changes as of 31 August 2009 but further changes can be made up until official notification for the meeting is sent out. For this to be managed the documents will need to be finalised by 29 September 2009.
